§ 1. General Provisions

  1. These Terms of Service govern the use of the Insight Data Partners Oy website and any related consulting services. By accessing our site or engaging our services, you agree to be bound by these terms.
  2. The services are intended for business entities. You represent that you have the authority to bind your organization to these terms. These terms constitute the entire agreement between you and Insight Data Partners Oy.
  3. We reserve the right to modify these terms at any time. Your continued use of our services after such changes constitutes your acceptance of the new terms.
  4. The content provided on this website is for informational purposes only and does not constitute a binding offer. A formal agreement is required for any engagement.

§ 2. Definitions

  • Platform – Refers to the website located at insightdatapartners.fi and all associated content and functionalities.
  • User – Refers to any individual or business entity that accesses the Platform or engages with the Services.
  • Account – Refers to any account created for client portals or collaborative tools provided as part of the Services.
  • Services – Refers to all business intelligence consulting and data analysis services offered by Insight Data Partners Oy.
  • Regulations – Refers to these Terms of Service.

§ 3. Scope of Services

  1. The specific scope, deliverables, timelines, and fees for any Services will be detailed in a separate Statement of Work (SOW) or Consulting Agreement. The SOW shall take precedence over these general terms.
  2. All intellectual property developed during the provision of Services shall remain the property of Insight Data Partners Oy unless otherwise specified in the SOW.
  3. The client grants Insight Data Partners Oy a non-exclusive license to use client-provided data solely for the purpose of performing the agreed-upon Services.
  4. Insight Data Partners Oy warrants that all Services will be performed in a professional and workmanlike manner, consistent with industry standards.

§ 4. Confidentiality

  1. Both parties agree to treat all information disclosed by the other party that is marked as 'Confidential' as such, and not to disclose it to any third party without prior written consent.
  2. This obligation of confidentiality shall not apply to information that is publicly known or required to be disclosed by law.
  3. The confidentiality obligations shall survive the termination of any service agreement between the parties.

§ 5. Limitation of Liability

  1. Insight Data Partners Oy shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of our Services.
  2. Our total liability for any claim arising out of our Services shall not exceed the total fees paid by the client in the six (6) months preceding the claim.
  3. The User agrees to indemnify and hold harmless Insight Data Partners Oy from any claims or liabilities arising from the User's breach of these terms.
  4. The client is solely responsible for the business decisions made based on the insights and deliverables provided. We provide analysis, not business directives.
  5. We do not guarantee that the Platform will be error-free or uninterrupted. We are not responsible for any delays or failures resulting from such problems.

§ 6. Governing Law

  1. These Terms of Service shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions.
  2. Any disputes arising from these terms shall be resolved exclusively in the district court of Helsinki, Finland.
  3. If any provision of these terms is found to be unenforceable, the remaining provisions will continue to be in full force and effect.
